These Terms of Service (“Terms”) govern your access to and use of the self-service website and management platform (“the Platform”) provided by FylorisAI Technologies (“FylorisAI,” “we,” “us,” or “our”), including all subdomains, APIs, and services accessible via fylorisai.com.

By creating an account, accessing, or using the Platform, you (“you” or “Customer”) agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Service Description

FylorisAI provides a self-serve website builder and management platform for schools, hospitals, and learning institutions. The Platform includes:

• Website templates with visual CMS editors for schools and hospitals.
• Management dashboards (appointment queues, attendance, billing, class management).
• Student learning features (AI tutoring, aptitude training, brain games).
• AI-powered content generation via OpenAI and DeepSeek models.
• Subscription billing managed through Razorpay.

2. Account Responsibilities

2.1 Account Ownership

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us at support@fylorisai.com of any unauthorised use of your account.

2.2 Tenant Responsibility

As a tenant owner (school or hospital), you are fully responsible for:

• All content published on your tenant website.
• The accuracy of information displayed about your institution.
• All users you create under your tenant (doctors, teachers, staff, students).
• Ensuring your staff comply with these Terms.
• Securing necessary consents for data you upload (e.g., patient/student data).

3. Acceptable Use Policy

You agree not to use the Platform for any unlawful or prohibited purpose. The following activities are explicitly prohibited:

Violation of any of these terms will result in immediate account suspension or termination without prior notice. We reserve the right to report illegal activities to law enforcement authorities and cooperate fully with their investigations.

4. Payment Terms

4.1 Subscription Plans

• Monthly Plan: ₹2,999 per month, billed monthly via Razorpay.
• Annual Plan: ₹29,999 per year (equivalent to ₹2,500/month), billed annually via Razorpay.
• Trial Period: New tenants receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Platform.

4.2 Payment Processing

All payments are processed securely through Razorpay, a PCI-DSS Level 1 compliant payment gateway. FylorisAI does not store your full credit/debit card details. By subscribing, you agree to Razorpay's terms of service for payment processing.

4.3 Refund Policy

No refunds are provided for partial months or unused portions of subscriptions. If you cancel your subscription, you will retain access until the end of your current billing period. Refund requests due to exceptional circumstances will be reviewed on a case-by-case basis at support@fylorisai.com.

5. Custom Domain Terms

Tenants on paid plans may connect a custom domain to their website. You are solely responsible for:

• Purchasing and maintaining your domain registration.
• Configuring DNS records (CNAME or A records) as instructed by our platform.
• Ensuring your domain does not infringe on any trademark or intellectual property rights.
• Renewing your domain before expiry — we are not responsible for domain lapses.

We provide SSL certificates for custom domains at no additional cost through Caddy's automatic HTTPS. We reserve the right to revoke custom domain access if your subscription is cancelled or your account is terminated.

6. Intellectual Property

• Our IP: The Platform, its code, templates, designs, and branding (excluding your content) are owned by FylorisAI Technologies and protected by Indian copyright law.
• Your Content: All text, images, logos, and data you upload or publish through the Platform remain your property. By publishing content, you grant us a limited licence to host, display, and distribute that content solely for the purpose of operating your tenant website.
• AI-Generated Content: Content generated through AI features (OpenAI, DeepSeek) is provided as-is. You are responsible for reviewing and approving AI-generated content before publishing.

7. Termination

7.1 By You

You may cancel your account at any time by contacting support@fylorisai.com. Your tenant website and data will be deleted within 90 days of cancellation.

7.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms — particularly the Acceptable Use Policy (Section 3). We may also terminate inactive trial accounts after reasonable notice.

8. Third-Party Services

The Platform integrates with third-party services including:

• Firebase (Google): Phone OTP authentication.
• Razorpay: Payment processing.
• Resend: Email delivery.
• OpenAI & DeepSeek: AI content generation.

These services are governed by their own terms and privacy policies. FylorisAI is not responsible for the availability or practices of third-party services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. AI-generated content may contain inaccuracies; you are responsible for verifying such content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FYLORISAI TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.

Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Kadapa, Andhra Pradesh shall have exclusive jurisdiction over any disputes arising from these Terms.

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be resolved by the competent courts in Kadapa, Andhra Pradesh.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to account holders at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
